ElectriHelp Terms & Conditions
This document contains two separate enforceability-optimized versions of the Terms & Conditions for ElectriHelp (operated as a sole proprietorship):
Part A: Canada Version
Part B: United States Version
Each version includes a mandatory arbitration-only clause, clear waiver of court litigation, fixed jurisdiction, and consumer-law–aware limitations designed for maximum enforceability.
PART A – CANADA VERSION
**Agreement & Acceptance
By selecting the Terms & Conditions checkbox at checkout and submitting payment of the required upfront fees, the customer (“Customer”) acknowledges, understands, and agrees that these Terms & Conditions govern all services provided by ElectriHelp, a sole proprietorship operated under the trade name ElectriHelp ("ElectriHelp"), and form a legally binding agreement ("Agreement").
Customer agrees that electronic acceptance, including timestamps, transaction records, IP address logs, and system records, constitutes valid and enforceable proof of consent.
Nature and Scope of Services (No Inspection / No Code Compliance)
Customer acknowledges and agrees that ElectriHelp is not acting as a licensed electrical inspector, licensed electrical contractor, home inspector, engineer, or authority having jurisdiction, and does not certify or guarantee compliance with any electrical code, safety regulation, permitting requirement, or standard.
All services consist solely of general educational information and non-binding guidance based on a limited, remote, virtual, visual review of conditions shown by the Customer. No physical inspection, testing, verification, measurements, or invasive evaluation is performed.
All latent, concealed, inaccessible, or undisclosed defects, deficiencies, hazards, or non-compliant conditions are expressly excluded.
It is the sole responsibility of the customer to file for permits with their local electrical safety authority.
No Warranties
To the maximum extent permitted by applicable Canadian law, ElectriHelp disclaims all warranties, express or implied, including any implied warranties of fitness, merchantability, safety, or suitability for a particular purpose.
Customer assumes full responsibility for all actions taken based on the consultation.
**Limitation of Liability
To the fullest extent permitted by law, ElectriHelp’s services are provided on a limited, informational basis. Customer expressly acknowledges and agrees that any liability of ElectriHelp shall be strictly limited to the business activities conducted under the ElectriHelp trade name, and that no personal liability is assumed beyond the scope permitted by applicable law.
ElectriHelp shall not be liable for any indirect, incidental, special, or consequential damages. Any liability arising from this Agreement shall be strictly limited to a refund of the fee actually paid for the specific virtual consultation giving rise to the claim.
Nothing in this Agreement excludes liability that cannot be excluded under applicable consumer protection legislation.
“Right to Refuse Service / Termination of Services”
ElectriHelp reserves the right, at its sole discretion, to refuse, suspend, or discontinue services where it determines that providing such services is inappropriate, unsafe, or outside the scope of its offerings. In such cases, ElectriHelp’s sole obligation shall be to refund any fees paid for the unused portion of the virtual consultation.
Indemnification
Customer agrees to indemnify and hold harmless ElectriHelp from third-party claims arising from Customer’s reliance on the services or work performed by others following the consultation, to the extent permitted by law.
MANDATORY ARBITRATION – CANADA (ARBITRATION ONLY / NO COURT ACTIONS)
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
All disputes, claims, or controversies arising out of or relating to this Agreement or the services provided by ElectriHelp shall be resolved exclusively by binding arbitration and not by a court of law.
Customer knowingly and voluntarily waives the right to commence or participate in any court action, including judge or jury trials, except where such waiver is prohibited by applicable law.
Arbitration shall be conducted under the ADR Institute of Canada (ADRIC) Arbitration Rules.
Arbitration shall take place virtually or in the Customer’s province of residence, at the Customer’s election.
ElectriHelp shall pay all arbitration filing and administrative fees beyond an amount equal to a local small-claims court filing fee.
Each party shall bear its own legal fees unless otherwise awarded by the arbitrator.
This arbitration clause shall survive termination of this Agreement.
Small Claims Carve-Out: Notwithstanding the foregoing, either party may elect to bring an individual claim in a local small claims court in lieu of arbitration, provided the claim falls within the monetary jurisdictional limits of that court and is brought on an individual basis only. No class, representative, or consolidated actions are permitted.
Governing Law (Canada)
This Agreement shall be governed by the laws of the Province or Territory expressly designated by ElectriHelp at checkout, without regard to conflict-of-law principles.
PART B – UNITED STATES VERSION
Agreement & Acceptance
By checking the Terms & Conditions box at checkout and submitting payment, Customer agrees to be bound by this Agreement. Electronic acceptance records constitute valid proof of assent.
Nature and Scope of Services (Educational Only)
Customer acknowledges that ElectriHelp is not providing licensed inspection, engineering, or code-compliance services. All guidance is educational and informational only, based on a limited virtual review.
ElectriHelp does not guarantee safety, performance, or compliance with electrical codes or regulations.
Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ELECTRIHELP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
Limitation of Liability
ElectriHelp’s total liability for any claim arising out of or related to this Agreement shall not exceed the amount paid for the specific virtual service. In no event shall ElectriHelp be liable for indirect, incidental, special, consequential, or punitive damages.
Indemnification
Customer agrees to indemnify and hold harmless ElectriHelp from third-party claims arising from Customer’s actions or reliance on the services, except to the extent prohibited by law.
MANDATORY ARBITRATION – UNITED STATES (ARBITRATION ONLY / WAIVER OF COURT & CLASS ACTIONS)
THIS SECTION REQUIRES ARBITRATION AND WAIVES THE RIGHT TO GO TO COURT.
All disputes, claims, or controversies arising out of or relating to this Agreement shall be resolved exclusively by final and binding arbitration, and not in court.
Customer expressly waives the right to file or participate in any lawsuit, including class actions, private attorney general actions, or jury trials.
Arbitration shall be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.
Arbitration may be conducted virtually or in the Customer’s state of residence, at the Customer’s choice.
ElectriHelp shall pay all arbitration filing and administrative fees beyond the amount equivalent to a local small-claims filing fee.
Each party bears its own legal fees unless the arbitrator awards otherwise.
This arbitration provision is governed by the Federal Arbitration Act (FAA) and shall survive termination of this Agreement.
Small Claims Carve-Out: Either party may bring an individual claim in a local small claims court instead of arbitration, provided the claim remains within the court’s jurisdictional limits and is filed on an individual (non-class, non-representative) basis only.
Governing Law & Venue (U.S.)
This Agreement shall be governed by the laws of the State designated by ElectriHelp at checkout, without regard to conflict-of-law rules.
U.S. Version – Right to Refuse Service
ElectriHelp reserves the right, in its sole discretion, to refuse, suspend, or discontinue services where it determines that providing such services is inappropriate, unsafe, or outside the scope of the services offered. In such cases, ElectriHelp’s sole obligation shall be to refund any fees paid for the unused portion of the virtual consultation.
**Severability
If any provision of this Agreement is found unenforceable, it shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.
Future Business Structure Conversion
Customer acknowledges and agrees that ElectriHelp may, at its sole discretion, convert its business structure in the future, including but not limited to conversion to a limited liability company, corporation, or other legal entity. Upon such conversion, all rights, limitations of liability, arbitration provisions, and protections contained in this Agreement shall automatically inure to the benefit of the successor entity, without requiring Customer’s further consent or execution of a new agreement.
